1. Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of the HasAGuy website and services (the "Service"), operated by HasAGuy ("we", "us", "our"). By creating an account, listing a business, creating a group, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

You must be at least 18 years old to create an account or list a business.

2. Accounts

You are responsible for providing accurate information when you register and for keeping it current. You are responsible for all activity that occurs under your account and for maintaining the confidentiality of your password. Notify us promptly if you believe your account has been compromised.

We may suspend or disable accounts that violate these Terms, that we reasonably believe are fraudulent, or that are being used to harm other users.

3. Business Listings

Business owners are solely responsible for the accuracy of their listings, including descriptions, contact details, hours, and any photographs they upload. You represent that you are authorised to list the business and that your listing content does not infringe any third party's rights.

Listings are reviewed before publication. We may approve, decline, edit for formatting, or remove a listing at our discretion. We are not obligated to publish any listing.

4. Community Groups

Group administrators are responsible for the groups they create and for approving or declining business affiliation requests. Groups must not be used for unlawful purposes, and we may remove any group that violates these Terms.

5. Discounts and Offers

Discounts are offered by the businesses that create them, not by HasAGuy. Each business is solely responsible for honouring its own offers, and for the accuracy of the terms, availability, expiry and any usage limits it publishes. HasAGuy is not a party to any transaction between a member and a business and does not process payments for goods or services.

We do not guarantee that any discount will be available, honoured, or suitable for your circumstances. Any dispute about a discount is between the member and the business.

6. Subscriptions and Plans

HasAGuy is currently free to use. Optional paid business plans add additional features such as increased group affiliations, additional active discounts, featured placement, analytics and promotional tools. Paid plans are enabled by request while billing is being finalised, and no payment is collected at this time.

Where a plan is later provided for a fee, we will present the price and terms before you are charged, and you will be able to cancel at any time with access continuing to the end of the period you have paid for.

7. Reviews and User Content

You retain ownership of the content you submit, including reviews, comments and business information. By submitting content you grant us a non-exclusive, worldwide, royalty-free licence to host, display and distribute that content as part of operating the Service.

Reviews must reflect genuine first-hand experience. We may remove content that is false, defamatory, misleading, unlawful, or that we reasonably consider abusive or spam.

8. Acceptable Use

You agree not to: use the Service unlawfully; attempt to gain unauthorised access to any account, system or data; scrape or bulk-collect content; submit false information; impersonate another person or business; interfere with the operation of the Service; or use the Service to send unsolicited commercial messages.

9. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that listings or discounts are accurate or complete.

10. Limitation of Liability

To the maximum extent permitted by law, HasAGuy will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or relating to your use of the Service. Our total liability for any claim relating to the Service will not exceed one hundred US dollars (US$100).

11. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Provisions that by their nature should survive termination will do so.

12. Governing Law

These Terms are governed by the laws of the State of New Hampshire, United States, without regard to its conflict-of-law rules. The exclusive venue for any dispute arising from these Terms or the Service is the state and federal courts located in New Hampshire.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected in the "Last updated" date above, and continued use of the Service after a change constitutes acceptance of the revised Terms.
